ReporterFlow
End-User License Agreement
Last updated: October 13, 2026. This End-User License Agreement (“EULA”) is a legally binding contract between you (the person or entity using ReporterFlow) and ReporterFlow. It grants you a license to use the ReporterFlow software and explains the rules of that license in plain language. By creating an account or using ReporterFlow, you agree to it. This EULA works together with our Terms of Service and Privacy Policy.
1. The license we grant you
ReporterFlow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the ReporterFlow web application for your own internal business purposes — specifically, to manage your agency's accounts receivable and send payment reminders you approve.
This is a license, not a sale. ReporterFlow and its licensors own the software, its design, and all related intellectual property. Your billing files, client information, and invoice data remain yours — we claim no ownership over your content.
2. What you may not do
- Copy, modify, distribute, sell, rent, or lease any part of the software.
- Reverse engineer or attempt to extract the source code, except where the law allows it regardless.
- Share your account access with people outside your agency, or let unauthorized third parties use the service through your account.
- Use the service to send unlawful, harassing, deceptive, or unsolicited bulk email.
- Probe, scan, or test the vulnerability of the service, or interfere with its operation.
- Use the service to build a competing product, or access it by automated means other than our documented interfaces.
3. Your account and authority
- You must be at least 18 years old and able to form a binding contract.
- If you use ReporterFlow on behalf of an agency or company, you confirm you're authorized to bind that entity to this EULA.
- You're responsible for activity under your account and for keeping your sign-in credentials confidential.
4. Your data
Your use of ReporterFlow involves importing billing data and client contact details, and sending email from your own connected account. You confirm you have the right to use and share that data, and that your use complies with the laws that apply to you. How we collect, use, protect, retain, and delete data is described in our Privacy Policy, which is part of this agreement.
5. Third-party services
ReporterFlow connects to services you choose — Google Drive, Gmail, Microsoft Outlook, and QuickBooks Online — using only the limited permissions described in the Privacy Policy. Those services are governed by their own terms and licenses, and we are not responsible for their availability or changes they make.
6. Updates and changes
ReporterFlow is a hosted service that we improve over time. Features may be added, changed, or removed. We may update this EULA as the service evolves; if a change materially reduces your rights, we'll notify you in the app before it takes effect. Continuing to use ReporterFlow after a change means you accept the updated EULA.
7. Disclaimer of warranties
ReporterFlow is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted or error-free, or that reminders will result in payment.
8. Limitation of liability
To the fullest extent permitted by law, ReporterFlow — and its owners, employees, and contractors — will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost data, or lost business opportunities, arising from or relating to your use of the software.
Our total liability for any claim relating to ReporterFlow is limited to the greater of (a) the amount you paid us for the service in the 12 months before the claim, or (b) $100. Some jurisdictions don't allow certain limitations, in which case these limits apply to the greatest extent the law allows. Nothing in this EULA limits liability that can't be limited under applicable law or affects your statutory rights as a consumer.
9. Indemnification
If a third party brings a claim against us arising from your misuse of the software, the emails you send, or the data you import (for example, contacting the wrong person), you'll cover our reasonable costs and damages from that claim, except to the extent it results from our own misconduct or a malfunction of the service.
10. Termination
- This license lasts until terminated. You can end it at any time by stopping use of the service and emailing us at shakesystems@gmail.com to delete your account.
- We may suspend or end your license if you breach this EULA, put the service or other users at risk, or if we're required to by law. When possible, we'll explain why and give you a chance to fix the issue first.
- On termination, your right to use the software ends and we handle your data as described in the Privacy Policy.
11. Miscellaneous
- Governing law. This EULA is governed by the laws of the State of California, USA, without regard to conflict-of-law rules.
- Disputes. Contact us first and we'll work with you in good faith. If a dispute can't be resolved, it will be handled in the state or federal courts located in California.
- Severability. If any part of this EULA is found unenforceable, the rest stays in effect.
- Entire agreement. This EULA, together with our Terms of Service and Privacy Policy, is the whole agreement between you and ReporterFlow regarding the software.
