ReporterFlow
Terms of Service
Last updated: September 25, 2026. These terms are a plain-language agreement between you and ReporterFlow. They are designed to be fair to you and to keep ReporterFlow a dependable service. By creating an account or using ReporterFlow, you agree to them. For how we handle your data, see our Privacy Policy.
1. What ReporterFlow does — and what it doesn't
ReporterFlow reads the billing spreadsheet you already keep (in a Google Drive folder you choose, or a file you upload), works out which invoices are late, and sends polite, escalating payment reminders from your own connected email account. Reminders are sent on schedules you approve, and final notices always wait for your approval.
ReporterFlow is a communication and organization tool. We do not collect payments, act as a debt collector, provide legal advice, or guarantee that any invoice will be paid. Decisions about extending credit, forgiving a debt, or escalating a matter remain yours alone.
2. Your account
- Access to ReporterFlow is currently by invitation. Keep your password confidential.
- You're responsible for activity that happens under your account. Tell us right away if you suspect someone else is using it.
- You must be at least 18 years old and able to form a binding contract to use ReporterFlow.
- If you connect the service on behalf of an agency or company, you confirm you're authorized to do so.
3. Your data and your content
- Your files stay yours. Your billing spreadsheet, client information, and invoices remain your property. You grant us only the limited permission needed to read the file you point us to, display it back to you, and send the reminders you approve.
- You're responsible for your data. You confirm you have the right to share the client contact details you import with us, and that your use of ReporterFlow complies with the laws that apply to you.
- We keep a record of activity — which reminders went out, when, and whether they were opened — so you can see your history. See the Privacy Policy for retention and deletion details.
4. Sending emails from your account
- Reminders are sent from your own connected Gmail or Outlook account, under your name, to recipients you choose. You are the sender of those emails.
- You agree to use ReporterFlow lawfully and respectfully: no harassing, threatening, or deceptive messages; no sending to people who have no relationship with your business; and compliance with anti-spam laws (such as the CAN-SPAM Act) that apply to your messages.
- We may pause or suspend sending if we reasonably believe the service is being used to send unlawful, abusive, or deceptive email.
5. Third-party services
ReporterFlow relies on Google Drive, Gmail, and (optionally) Microsoft Outlook to read your file and send email. Your use of those services is also governed by their own terms. We connect to them using only the limited permissions described in our Privacy Policy (read-only Drive access, send-only email access). If Google or Microsoft changes or interrupts their services, some ReporterFlow features may be temporarily affected; we'll work around it where we can.
6. Service availability
We work hard to keep ReporterFlow running smoothly, but we can't promise the service will always be available or error-free. Scheduled maintenance, third-party outages, or events beyond our control may interrupt it. If we ever plan to discontinue the service, we'll give you reasonable advance notice and a way to export your reminder history.
7. Disclaimers
ReporterFlow is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, or free of errors, or that reminders will result in payment.
8. Limitation of liability
To the fullest extent permitted by law, ReporterFlow — and its owners, employees, and contractors — will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost data, or lost business opportunities, arising from or relating to your use of the service.
Our total liability for any claim relating to ReporterFlow is limited to the greater of (a) the amount you paid us for the service in the 12 months before the claim, or (b) $100. Some states or countries don't allow certain limitations, in which case these limits apply to the greatest extent the law allows.
Nothing in these terms limits liability that can't be limited under applicable law, and nothing here affects your statutory rights as a consumer.
9. Your responsibility to others
Because reminders go out under your name from your account, you're responsible for their content and for your relationships with your clients. If a third party brings a claim against us arising from emails you sent or data you imported through ReporterFlow (for example, contacting the wrong person), you'll cover our reasonable costs and damages from that claim, except to the extent it results from our own misconduct or a malfunction of the service.
10. Ending your use of the service
- You can stop using ReporterFlow at any time by disconnecting your accounts and emailing us at shakesystems@gmail.com to delete your account.
- We may suspend or end accounts that breach these terms, that put the service or other users at risk, or that we're required to act on by law. When possible, we'll explain why and give you a chance to fix the issue first.
- When your account is deleted, we remove your data as described in the Privacy Policy.
11. Changes to these terms
We may update these terms as the service evolves. If a change materially reduces your rights, we'll notify you in the app before it takes effect. Continuing to use ReporterFlow after a change means you accept the updated terms. The "last updated" date at the top always reflects the current version.
12. Miscellaneous
- Governing law. These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules.
- Disputes. We'd rather solve problems directly — contact us first and we'll work with you in good faith. If a dispute can't be resolved, it will be handled in the state or federal courts located in California.
- Severability. If any part of these terms is found unenforceable, the rest stays in effect.
- No waiver. If we don't enforce a provision right away, that isn't a waiver of it.
- Entire agreement. These terms and our Privacy Policy make up the whole agreement between you and ReporterFlow regarding the service.
